1. Introduction
 

These Terms of Service ("Terms") govern your access to and use of artist.tools, including our websites, web applications, embedded tools, dashboards, data products, APIs, reports, alerts, search tools, AI-assisted tools, team features, and related services (collectively, the "Services").
 

"artist.tools," "we," "us," and "our" refer to ALW Holdings, Inc., an Ontario, Canada corporation operating artist.tools. "You" and "your" refer to the person or organization using the Services. If you use the Services on behalf of a company, label, agency, distributor, management business, artist project, or other organization, you represent that you have authority to bind that organization to these Terms.
 

By creating an account, purchasing a subscription, generating an API key, accessing the Services, or otherwise using artist.tools, you agree to these Terms and to any additional policies we post or make available for specific features, including our API Terms & Rules.
 

If you do not agree to these Terms, do not use the Services.
 

2. Eligibility and Accounts
 

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with permission and supervision from a parent or legal guardian, and that parent or guardian is responsible for your use of the Services. You are responsible for the accuracy of the information you provide to us and for keeping your account credentials secure.
 

You may create or access an account using email/password, Google sign-in, Wix sign-in, or other login methods we support. You are responsible for all activity under your account, including activity by team members, contractors, employees, API users, or anyone else you invite or authorize.
 

You must promptly notify us if you believe your account, password, API key, or billing account has been compromised.
 

3. The Services
 

artist.tools provides music intelligence, discovery, search, analytics, workflow, and automation tools. The Services may include, among other things:

  • public artist, track, album, playlist, curator, show, and episode pages;

  • music, video, search, playlist, keyword, backlink, SEO, popularity, streaming, follower, listener, bot-detection, and related market data;

  • playlist search, curator search, contact workflows, folders, notes, marked-contacted lists, alerts, and exports;

  • AI-assisted features such as playlist name generation, structured playlist search, AI song checks, and editorial pitch generation;

  • team subscriptions, member invitations, admin controls, and consolidated billing;

  • developer accounts, API keys, and API access;

  • marketing, onboarding, support, referral, customer communication, analytics, and operational features.
     

We may add, remove, suspend, restrict, or change features, datasets, providers, plans, limits, APIs, and eligibility requirements at any time.


4. Plans, Billing, Renewals, and Refunds
 

Some Services require a paid subscription or paid plan. Payments, checkout, invoices, payment methods, subscription changes, cancellations, and billing portal access may be handled by Stripe, Wix, or another billing provider. Your use of a billing provider may also be subject to that provider's own terms, policies, and privacy notices.
 

Paid plans are generally subscription-based and may be billed monthly, annually, or on another recurring interval shown at checkout. By purchasing a paid plan, you authorize us and our billing providers to charge the applicable fees, taxes, and recurring subscription amounts using the payment method you provide. Unless stated otherwise, subscriptions renew automatically until canceled, including annual subscriptions that renew each year. Charges may appear on your bank or card statement as ARTIST.TOOLS or a similar descriptor.
 

We may offer trials, promotions, discounts, legacy plans, custom plans, one-time purchases, usage-based fees, or other billing arrangements. Any additional billing, cancellation, usage, trial, or refund terms presented at checkout or in a separate written agreement will also apply.
 

You may cancel a subscription through the billing portal or another cancellation flow we provide. Cancellation stops future renewals but does not automatically refund amounts already paid.
 

Unless we state otherwise in writing or applicable law requires otherwise, paid plans include a 30-day fair-use refund policy that we apply in good faith and in a fair and neutral manner. To request a refund, contact support@artist.tools with the email address associated with your account and the reason for the request. Refund requests are reviewed by artist.tools, and refund requests made after the 30-day period are not guaranteed.
 

We may deny or limit refunds where we reasonably believe there has been abuse, excessive usage, bulk export, dataset mining, unauthorized automated extraction, API overuse, violation of these Terms, violation of the API Terms & Rules, chargeback abuse, fraud, or other use inconsistent with fair use. For example, purchasing annual developer access, extracting a substantial portion of the dataset, and then requesting a refund would not qualify for a refund. Promotional, discounted, trial, legacy, team, API, or custom plans may have different refund, cancellation, or credit terms if stated at checkout or in a separate agreement.
 

Approved refunds will generally be issued to the original payment method unless applicable law, payment method rules, or the billing provider requires or permits another process. Billing providers, payment method providers, card networks, banks, and other financial providers may delay, decline, reverse, or otherwise control payment, refund, dispute, and chargeback processing.
 

We may change pricing, plan features, usage limits, billing intervals, or available plans at any time. Price changes for existing recurring subscriptions will apply as permitted by law and by the billing provider's rules.
 

If payment fails, is reversed, is disputed, or cannot be processed, we may suspend, downgrade, restrict, or terminate access to paid features.
 

artist.tools does not store full payment card numbers. Payment card information is handled by the applicable billing provider.
 

5. Teams and Organizations
 

Team features allow an administrator to invite users, assign plan types, manage access, and manage billing for team members. Team administrators are responsible for their team, team name, billing setup, member invitations, member permissions, and plan assignments.

If you join a team, your access may be controlled by the team administrator. If a team subscription is canceled, suspended, or deleted, team members may lose access to paid features or be downgraded.
 

If a team owner deletes their account or team, the team may be removed, team member plans may be canceled, and members may lose team-managed access.
 

6. Developer API
 

Developer API access may require an active developer plan. API access is also governed by our API Terms & Rules. Those API Terms & Rules are incorporated into these Terms by reference. If there is a conflict between these Terms and the API Terms & Rules for API-specific use, the API Terms & Rules control for that API use.
 

If you generate an API key, you are responsible for keeping it confidential and for all usage associated with it.
 

You may not sell, sublicense, disclose, share, or publish API keys. You may not use the API to build a competing database, bulk-download or replicate our datasets, bypass product limits, overload our systems, or resell, sublicense, redistribute, or otherwise commercialize artist.tools data or functionality unless we have expressly agreed in writing.
 

You may use the API to enrich your own internal tools or services, provided those tools or services do not act as a substitute for artist.tools and do not have redistribution of artist.tools data as their primary value.
 

We may rate limit, monitor, revoke, rotate, suspend, or disable API keys at any time, including for security, abuse prevention, billing issues, excessive usage, or suspected violation of these Terms.
 

7. User Content
 

"User Content" means content, data, prompts, searches, notes, folders, preferences, pitch drafts, saved pitches, messages, submissions, team information, profile details, uploaded or imported materials, feedback, and other materials you provide to or create through the Services.
 

You retain ownership of your User Content. You grant artist.tools a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, adapt, and use User Content as necessary to provide, secure, maintain, support, analyze, and improve the Services and to comply with law.
 

You represent that you have the rights needed to provide your User Content and that your User Content does not violate law, third-party rights, platform rules, confidentiality obligations, or these Terms.
 

You are responsible for reviewing any outputs, exports, recommendations, contact lists, AI-generated text, pitch content, or other materials before using them publicly or sending them to third parties.
 

8. Aggregated and De-Identified Data
 

We may create, use, and retain aggregated, anonymized, or de-identified data derived from the Services for internal analytics, product improvement, security, abuse prevention, support, operations, forecasting, and business reporting. This may include usage patterns, music-market trends, search trends, playlist trends, artist and track metrics, keyword data, performance benchmarks, and other statistical or analytical information.
 

Aggregated or de-identified data will not identify you as an individual. We do not sell, license, publish, or commercialize your personal account data as a standalone product. This section does not limit our ability to use public or third-party music data that exists independently of your account, and it does not limit any rights you may have under our Privacy Policy or applicable privacy law.
 

9. Customer Names, Logos, and Brand Marks
 

If you use the Services on behalf of, or in connection with, a company, artist project, label, agency, distributor, management company, publisher, playlist brand, media brand, or other organization, you grant artist.tools permission to identify that organization as an artist.tools user or customer.
 

This permission includes using the organization's name, trade name, logo, brand mark, and publicly available brand assets in our website, customer lists, sales materials, investor materials, presentations, social posts, case studies, and other marketing or promotional materials.

We will use those marks only to identify the customer relationship and will not imply sponsorship, endorsement, or partnership beyond that relationship. You may opt out of logo or brand use by emailing us at support@artist.tools, and we will stop new public uses within a reasonable time.
 

10. Third-Party Platforms and Data
 

The Services may include information from a variety of sources, including third-party data providers, official APIs or platform tools where available, public materials, user-submitted information, customer-connected accounts, and artist.tools' own derived analytics. We may also generate inferences, scores, classifications, normalized records, links, identifiers, reports, and other derived data from those materials.
 

The sources, providers, coverage, availability, and composition of the Services may change at any time. We are not required to disclose non-public source details, provider arrangements, data processing details, ranking methods, scoring methods, security measures, abuse-prevention methods, or operational details.
 

References to third-party platforms or services, including Spotify, YouTube, Deezer, Google, Apple Music, TikTok, Instagram, Facebook/Meta, or others, are provided for identification, compatibility, search, analytics, reporting, or contextual purposes only. Those references do not imply that artist.tools is affiliated with, sponsored by, endorsed by, approved by, or partnered with those third parties.
 

Third-party platforms may change, remove, restrict, reclassify, or make unavailable their content, identifiers, pages, APIs, features, policies, or data at any time. We do not guarantee that third-party platform data, metrics, identifiers, links, scores, reports, rankings, contact information, bot-detection signals, popularity scores, keyword data, traffic estimates, backlinks, AI-identification signals, curator information, or other information will be accurate, complete, current, available, or suitable for your intended use.
 

Your use of third-party platforms, websites, accounts, content, links, data, exports, identifiers, or services may be governed by those third parties' own terms and policies. You are responsible for complying with those terms and policies.
 

We may remove, restrict, correct, modify, stop displaying, or stop providing any third-party data, links, metrics, identifiers, materials, platform references, reports, outputs, or features at any time, including in response to provider changes, rights-holder requests, legal concerns, platform restrictions, accuracy issues, operational needs, or business reasons.
 

artist.tools is not responsible for third-party platforms, services, content, data, websites, accounts, policies, outages, pricing, restrictions, rules, or changes.
 

artist.tools does not claim ownership of third-party platforms, names, logos, marks, content, identifiers, data, or materials. All third-party names, logos, trademarks, and service marks are the property of their respective owners.
 

11. AI and Automated Features
 

Some Services use AI models, automated systems, ranking systems, classification systems, or heuristic analysis. These features may generate playlist names, pitch drafts, structured searches, explanations, labels, recommendations, scores, summaries, or other outputs.
 

AI and automated outputs may be inaccurate, incomplete, misleading, or unsuitable for your use. You are responsible for reviewing outputs before relying on them, publishing them, submitting them, sending them, or using them in business decisions.
 

AI song checks, bot-detection scores, playlist quality signals, contact recommendations, popularity signals, SEO estimates, and pitch recommendations are informational tools only. They are not legal, financial, royalty, accounting, fraud, compliance, copyright, or platform-policy determinations.
 

We do not guarantee playlist placements, editorial consideration, streaming growth, follower growth, search ranking improvements, revenue, platform outcomes, removal of artificial activity, or acceptance by any curator, platform, editor, label, distributor, or third-party service.
 

12. Acceptable Use
 

You may use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • violate any law, regulation, third-party right, platform rule, or contractual obligation;

  • use the Services to spam, harass, deceive, phish, impersonate, defame, extract data without authorization, or unlawfully contact anyone;

  • use curator, playlist, artist, or contact data in violation of anti-spam, privacy, consumer protection, or electronic communications laws, including CASL, CAN-SPAM, GDPR/ePrivacy, or similar laws;

  • upload, submit, or generate unlawful, infringing, confidential, harmful, abusive, deceptive, or misleading content;

  • attempt to reverse engineer, decompile, copy, frame, mirror, or create derivative works from non-public parts of the Services;

  • bypass access controls, usage limits, rate limits, billing controls, security controls, or plan restrictions;

  • use bots, automated extraction tools, or bulk export methods except through APIs or features we expressly provide for that purpose;

  • overload, disrupt, probe, scan, attack, or interfere with the Services or our infrastructure;

  • resell, redistribute, sublicense, publish, or commercialize the Services or data from the Services except as expressly allowed by your plan or a written agreement;

  • use the Services to train, benchmark, or improve a competing product or dataset without our written permission;

  • remove proprietary notices or misrepresent the source of data, outputs, or reports.
     

We may investigate suspected violations and suspend or terminate access where we believe a violation has occurred.
 

13. Intellectual Property
 

The Services, including our software, designs, interfaces, trademarks, logos, databases, workflows, models, documentation, content, and other materials, are owned by artist.tools or our licensors and are protected by intellectual property and other laws.
 

Subject to these Terms and your applicable plan, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal business or personal use.
 

No rights are granted except as expressly stated in these Terms. You may not use the artist.tools name, logo, branding, or marks without our prior written permission.
 

If you believe content, data, links, identifiers, or materials displayed through the Services infringe your rights or should not be displayed, contact support@artist.tools with enough detail for us to review the issue. We may remove, restrict, disable, correct, or modify access to the material while we investigate or at our discretion.
 

14. Feedback
 

If you provide ideas, suggestions, requests, bug reports, or other feedback, you grant us the right to use that feedback without restriction or compensation. We are not required to treat feedback as confidential.
 

15. Privacy
 

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge that personal information will be handled as described in our Privacy Policy.
 

Some privacy topics, including cookies, analytics, marketing communications, payment processing, account deletion, data retention, international transfers, and processor lists, belong in the Privacy Policy rather than these Terms.
 

16. Account Deletion and Data Retention
 

You may delete your account through the account settings or by contacting us. Account deletion may cancel active subscriptions, remove you from email lists, delete personal account data and preferences, remove team memberships, and revoke API access.
 

Deletion may not remove:

  • data we must keep for legal, tax, billing, accounting, fraud-prevention, security, dispute, or compliance purposes;

  • public or third-party data that exists independently of your account;

  • aggregated, anonymized, or de-identified data;

  • backups or logs retained for a limited period;

  • content or records associated with another user's account, a team account, an organization account, or a third-party service;

  • information already sent to third parties before deletion.
     

17. Service Availability and Changes
 

The Services may be unavailable, delayed, interrupted, inaccurate, degraded, or changed from time to time. We may perform maintenance, change infrastructure, change providers, modify systems, change models, remove features, alter limits, or suspend access as needed.
 

We are not responsible for losses caused by outages, maintenance, provider failures, third-party platform changes, platform restrictions, rate limits, bugs, security events, or other interruptions.
 

18. Termination
 

You may stop using the Services at any time. We may suspend, restrict, downgrade, or terminate your access to the Services at any time if we believe you violated these Terms, created risk for us or others, failed to pay amounts owed, misused data, abused the Services, or used the Services in a way that may harm artist.tools, our users, third parties, or our providers.
 

After termination, your right to access the Services ends immediately. Sections intended to survive termination, including payment obligations, intellectual property, aggregated data, customer attribution for prior use, disclaimers, liability limits, indemnity, governing law, and dispute provisions, will survive.
 

19. Disclaimers
 

The Services are provided "as is" and "as available." To the maximum extent permitted by law, artist.tools disclaims all warranties, express, implied, statutory, or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, availability, and uninterrupted operation.
 

We do not warrant that the Services, data, outputs, reports, APIs, alerts, features, or third-party data will be accurate, complete, current, secure, uninterrupted, error-free, or compatible with your needs.
 

You use the Services at your own risk and remain responsible for your business decisions, communications, campaigns, platform activity, pitches, submissions, outreach, and reliance on any data or output.
 

20. Limitation of Liability
 

To the maximum extent permitted by law, artist.tools and its owners, officers, employees, contractors, affiliates, suppliers, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, platform penalties, playlist removals, account actions, or lost opportunities, even if we have been advised that such damages are possible.
 

To the maximum extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of: (a) the amounts you paid to artist.tools for the Services in the 3 months before the event giving rise to the claim; or (b) CAD $100.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.
 

21. Indemnification
 

You agree to defend, indemnify, and hold harmless artist.tools and its owners, officers, employees, contractors, affiliates, suppliers, licensors, and providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

  • your use of the Services;

  • your User Content;

  • your violation of these Terms;

  • your violation of law or third-party rights;

  • your outreach, pitches, submissions, exports, API use, or use of third-party data;

  • activity under your account, team, or API key.
     

22. Governing Law and Disputes
 

These Terms are governed by the laws of Ontario, Canada and the applicable federal laws of Canada, without regard to conflict-of-law rules.
 

Unless applicable law requires otherwise, you agree that any dispute relating to these Terms or the Services will be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.
 

23. Changes to These Terms and Policies
 

We may update these Terms, our Privacy Policy, and other policies at any time. If we make material changes, we will take reasonable steps to notify users, such as posting the updated terms, updating the "Last updated" date, sending an email, or providing in-product notice.
 

Updated Terms become effective when posted or on the effective date stated in the update. Your continued use of the Services after updated Terms take effect means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Services.
